These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Castar Ventures, Inc. (“MadeThis,” “we,” “our,” or “us”), governing your access to and use of the MadeThis platform, website, APIs, and all related services (collectively, the “Services”).
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services. If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
We may update these Terms by posting a revised version and updating the “Last updated” date. For material changes, we will provide any additional notice and obtain any consent required by applicable law before the changes take effect. Changes apply prospectively and do not remove rights that have already accrued. Subject to those requirements, continuing to use the Services after the changes take effect constitutes acceptance of the revised Terms.

MadeThis provides an AI-powered platform for creating and managing online businesses. Our Services include, but are not limited to:
Shared Responsibility. MadeThis operates under a shared responsibility model. We are responsible for the security and availability of the underlying platform infrastructure. You are responsible for the content, products, and services offered through businesses created on the platform.
Service Availability. We strive to maintain high availability of our Services but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any aspect of the Services, subject to the handoff protections in Section 12 and any notice or other obligations required by law.
“Input” means the prompts, instructions, business data, code, images, files, and other materials you provide to the Services. “Output” means the content generated for you through the Services, including code, websites, text, images, and business recommendations. Input and Output together are “User Content.”
Ownership. Your Input remains yours. To the extent the law permits, you also own your Output as between you and MadeThis, and MadeThis assigns to you any rights it holds in that Output. This does not transfer ownership of MadeThis's underlying platform, pre-existing software, templates, tools, or third-party materials. Those materials remain subject to their applicable licenses. AI-generated content may not be unique or eligible for intellectual property protection, and other users may receive similar content. Ownership is separate from eligibility for the assisted export described in Section 12.
Permission to Operate and Improve the Services. You give MadeThis a non-exclusive, worldwide, royalty-free license to store, reproduce, process, adapt, and transmit your User Content to deliver, maintain, secure, evaluate, develop, and improve the Services, comply with law, and enforce our terms, solely for these purposes. This includes evaluating AI performance and improving agent instructions, workflows, and safeguards. We may use service providers acting on our behalf for these purposes. This permission does not transfer ownership to MadeThis or authorize us to sell or publicly publish your User Content without your permission. Our use of personal information remains subject to our Privacy Policy, applicable law, and any separate data-processing or confidentiality agreement with you. This license does not override those protections.
Your Responsibilities. You are solely responsible for the Input you provide, your use of Output, and the decisions you make for your business. You must have the rights and permissions needed to provide Input, including any required permissions for customer data. Review Output for accuracy, suitability, security, and legal compliance before relying on, publishing, or deploying it, using qualified human review where appropriate. You are responsible for the instructions, approvals, and automation settings you choose, and for monitoring activities you authorize. AI assistance does not replace your business judgment or legal, tax, financial, or other professional advice. Nothing in these Terms excuses MadeThis from its own contractual obligations or liability that cannot lawfully be excluded.
You agree not to:
Certain features of the Services require a paid subscription. You agree to pay all fees associated with your use of the Services as described on our pricing page. Paid subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date.
No Refunds. Subscription fees, usage fees, and fees for add-ons are non-refundable, except where applicable law requires a refund. You are not entitled to refunds or prorated credits merely for partial billing periods, unused Services, dissatisfaction with Output, or a failure to earn revenue or achieve business results. Canceling stops future renewals and does not itself refund charges already incurred. This policy does not limit mandatory cancellation, withdrawal, or refund rights or refunds governed by an app store's applicable rules. It also does not prevent automatic plan-change prorations, correction of duplicate or erroneous charges, refunds for failed or undelivered add-on purchases, or refunds or fee adjustments expressly described in the Services or agreed by MadeThis in writing. A discretionary refund does not create an entitlement to future refunds. Customer sales proceeds and funds held for third-party advertising spend are not MadeThis subscription or usage fees and remain subject to their applicable terms.
Except for your rights in User Content described in Section 4, the Services, including MadeThis's platform software, designs, graphics, logos, and other underlying technology, are owned by or licensed to Castar Ventures, Inc. and are protected by intellectual property laws. A subscription or export does not transfer ownership of that technology.
For MadeThis-owned templates and pre-existing code included in a business export under Section 12, MadeThis grants you a perpetual, worldwide, non-exclusive, royalty-free license to use, copy, modify, and host those included portions as part of operating that business, including through your hosting and development providers. This license may transfer to a successor owner of that business. This license does not cover third-party materials, which remain subject to their own licenses, or allow you to extract and resell MadeThis templates as standalone products. It does not grant access to or a license to operate MadeThis's underlying platform or agent infrastructure independently.
The Services may integrate with or rely on third-party services, including AI model providers, cloud infrastructure providers, and payment processors. Your use of any third-party services is subject to the respective third-party's terms of service and privacy policies. MadeThis is not responsible for the availability, accuracy, or content of third-party services.
No Guarantee of Revenue or Business Success. MadeThis does not promise that you will earn money, make sales, obtain customers, generate revenue or profit, recover subscription or advertising costs, or achieve any particular business result. Results depend on factors such as your offer, pricing, execution, market demand, competition, and budget. You may earn no revenue and may lose money. Examples, testimonials, forecasts, estimates, and AI-generated plans are illustrative and are not promises of your future results. You remain responsible for your business decisions and for assessing the risks of pursuing them.
TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. MADETHIS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR OUTPUT GENERATED BY AI AGENTS. YOU ACKNOWLEDGE THAT AI-GENERATED OUTPUTS MAY CONTAIN ERRORS OR INACCURACIES, AND YOU USE SUCH OUTPUTS AT YOUR OWN RISK.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CASTAR VENTURES, INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MADETHIS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
You agree to indemnify, defend, and hold harmless Castar Ventures, Inc. and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses arising out of your use of the Services, your User Content, or your violation of these Terms.
Once your account has maintained an uninterrupted paid subscription for more than three consecutive months, you may request a one-time export and handoff covering all businesses owned by your account in a single request to leave MadeThis. Eligibility begins after the third monthly anniversary of the start of that uninterrupted paid subscription. Paying for three months in advance does not accelerate eligibility; annual subscriptions qualify based on elapsed paid service. Free trials and free-plan periods do not count. A gap in paid subscription coverage restarts the period; changing paid plans without a gap does not. A payment delay that is later cured without ending paid subscription coverage does not by itself restart the period. Monthly anniversaries use the original start date, or the last day of a shorter month when that date does not occur in that month.
A subscription pause offered through the Services does not count toward the required paid service or restart the qualifying period; instead, it defers the eligibility date by the length of the pause. If you already qualified before the pause, you may request the handoff during it. If your subscription is past due but has not ended, you may request a handoff based on qualifying paid service already completed. Canceling a past-due subscription may end it immediately, so submit your request before canceling.
The handoff includes a one-time copy of your business's code, including MadeThis template and pre-existing code incorporated into it (licensed under Section 7), and the customer-owned content and business data we hold for your business in the file formats in which we maintain them or a commonly used export format. We will also facilitate transfer of a custom domain registered for your business through MadeThis where it is transferable, subject to registrar rules, transfer locks, identity verification, and your authority over the business. MadeThis subdomains are not transferable. This assisted coordination is separate from any self-service domain transfer available through the Services, which has no three-month subscription requirement and remains subject to registrar rules and transfer locks.
The handoff excludes MadeThis's proprietary platform and agent infrastructure, shared systems, credentials, other users' data, and materials or services that cannot lawfully be transferred. Third-party licenses and restrictions continue to apply. You are responsible for replacement hosting, provider accounts, transfer and ongoing third-party charges, and any changes needed to run your business elsewhere. The handoff does not include rebuilding the business for another platform, ongoing migration assistance, or a guarantee that MadeThis-dependent features will operate elsewhere.
Request the handoff at support@madethis.com while your paid subscription remains active and before deleting your account or any business you want included. A scheduled cancellation does not prevent a request during the remaining paid subscription period. We will verify ownership and coordinate the export and any domain transfer with you, including confirming a handoff schedule. A timely request remains eligible for completion after the subscription ends. Subject to legal restrictions, we will preserve the materials needed to fulfill that request until the handoff is complete or the request lapses. You must cooperate with ownership verification, provide a destination for the export, and respond to scheduling requests. If you do not respond within 30 days after we send a written reminder that your response is needed to proceed, we may close the request and end this preservation obligation, subject to applicable law and privacy rights. Registrar transfer locks do not by themselves cause a request to lapse. The eligibility requirement limits this assisted handoff only; it does not delay your ownership of User Content, restrict downloads or self-service domain transfers already available through the Services (including any available after business deletion), prevent cancellation at any time, or limit any access, deletion, or portability rights required by privacy law.
If MadeThis ends your access without cause or discontinues the Services, we will give eligible customers advance notice and a reasonable opportunity to request the handoff before access ends, unless law prohibits us from doing so. Any non-excludable refund rights or written refund commitments remain in effect.
Subject to the handoff protections above and applicable law, we may suspend or terminate your account with or without cause. You may terminate your account at any time through your account settings. Upon termination, your right to use the Services will cease immediately, without affecting a timely export request under this section or rights that cannot be waived under applicable law. Canceling a subscription and deleting an account are separate actions.
Before filing any formal dispute, you agree to first contact us at support@madethis.com and attempt to resolve the dispute informally for at least forty-five (45) days. Any unresolved dispute shall be resolved by binding arbitration. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS ACTION.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
